TERMS OF SALE AND USE: SPECIAL PROVISIONS FOR MEASUREMENT INSTRUMENTS

  1. RESTRICTED AVAILABILITY AND REQUEST FOR QUOTE (RFQ) PROCESS
    (a) No Public Offer. The measurement instruments, hardware components, and associated software applications (collectively, the “Products”) displayed or referenced on this website are not standard consumer goods, are not available for general public retail purchase, and do not constitute a binding offer to sell under Florida law.
    (b) Pricing Confidentiality. Pricing is variable based on technical specifications, customization requests, and software configurations. No standardized or public price list is maintained. All pricing figures shared during the RFQ process constitute confidential commercial information.
    (c) Contract Formation. Procurement of Products is executed strictly on a Request for Quote (“RFQ”) basis. The submission of an RFQ by a prospective buyer is an invitation to treat and not a binding order. A contract for sale is formed exclusively when the Company issues a formal, written quotation and subsequently executes a written acceptance of the buyer’s matching purchase order. The Company reserves the unilateral right to reject any RFQ at its absolute discretion.
  2. PROPRIETARY TECHNOLOGY AND STRICT REVERSE ENGINEERING PROHIBITION
    (a) Protection of Trade Secrets. The Products utilize advanced electronic configurations, firmware, proprietary calibrations, algorithms, and software architectures that constitute valuable trade secrets, confidential commercial data, and intellectual property owned exclusively by the Company.
    (b) Absolute Prohibition. The buyer, user, or any affiliated third party is strictly prohibited from engaging in, permitting, or facilitating:
    (i) The reverse engineering, decompilation, disassembly, decoding, or structural analysis of any hardware components or circuitry within the Products.
    (ii) The extraction, modification, decryption, or decompilation of any embedded firmware or accompanying software source code.
    (iii) Any investigative disassembly or chemical/physical analysis intended to discover underlying manufacturing processes, trade secrets, layout designs, or proprietary calibration methodologies.
    (c) Business Secrets and Competitive Isolation. The buyer acknowledges that any analysis of the Products conducted to uncover business secrets, replicate functionality, or develop a competing hardware or software product constitutes an act of misappropriation.
    (d) Florida Remedies and Enforcement. In accordance with the Florida Uniform Trade Secrets Act (Chapter 688, Florida Statutes), any violation or threatened violation of this section shall entitle the Company to seek immediate injunctive relief to prevent irreparable harm, without the necessity of posting a bond, in addition to recovering actual damages, unjust enrichment damages, punitive damages, and reasonable attorney’s fees.
  3. GOVERNING LAW AND VENUE
    These terms, the RFQ process, and any subsequent transaction shall be governed by, and construed in accordance with, the laws of the State of Florida, without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to these terms or the misuse of the Products must be instituted exclusively in the state or federal courts located in Florida.
  4. COUNTRY OF ORIGIN & EXPORT DOCUMENTATION
    All Goods are physically manufactured, assembled, and dispatched via our affiliated manufacturing facility in Sweden (European Union). Free Trade Preferential Status: Upon request during the RFQ process, Seller can provide standard EU Certificates of Origin or EUR.1 movement certificates to qualifying buyers. Buyer Responsibility: The Buyer remains solely responsible for ensuring compliance with their local country’s import regulations, though Seller will provide the necessary EU-origin documentation to facilitate preferential tariff treatment where applicable.
